CODE OF BUSINESS CONDUCT (COBC)
The Code of Business Conduct, or COBC, illustrates and reinforces our values and should be used as a tool to help guide you in making decisions and resolving issues you may encounter in your role. Organizational ethics is the applied ethics discipline that addresses the moral choices influenced and guided by values, standards, principles, rules, and strategies associated with organizational activities and business situations. Organizational ethics focuses both on the choices of the individual and the group. From a global perspective, this entry focuses on the dimensions of an organizational culture, approaches to ethics management, the role of individual moral responsibility, the widening scope of multinational corporations with global stakeholders, and the need for global best practices in organizational ethics.
DEFINING ETHICS AT GUNSHIP GROUP
Gunship Group commitment to ethical standards is reflected in the way we conduct business and through our actions.
As an employee, at any level, we must always consider the impact on our team members, stakeholders, community, and the Gunship Group brand when making business decisions. We must each demonstrate a commitment to building a strong ethical culture by:
- Modelling Gunship Group values and behaviours through our decisions and actions
✓ Making good decisions and ethical choices builds trust between each of us and the people we interact with. But not all situations you encounter are straightforward.
✓ While the Standards will not tell you exactly what to do in every situation, they serve as a guide to help you make good decisions and navigate
complex situations where the answer might not always be clear.
✓ When faced with a difficult decision or situation, pause before you act and consider how to approach the situation.
✓ Never sacrifice long-term reputation and trust for a short-term benefit. - Seeking guidance when you have ethical questions & making good choices.
✓ When you are faced with an ethical dilemma, you have a responsibility to act. It may seem easier to say nothing or look the other way, but taking no action is, in itself, an action that can have serious consequences. Speak up if you see or suspect activity that violates our COBC. As we continue to grow and innovate, you will be helping to further our mission while preserving our core values. - Reporting any suspected violations or concerns

HONESTY AND INTEGRITY
Consider Gunship Group reputation and credibility in all your business relationships. Be honest and honourable in all dealings with other employees, the public, the business community, shareholders, customers, suppliers, competitors, and government authorities.
The strongest contributions come from teams that trust each other—those that can be open, honest, and constructive with one another. It takes all of us working together to cultivate an atmosphere of mutual respect, inclusion, and collaboration.
- We honestly and accurately record and report financial transactions and business information, following applicable laws, regulations, and accounting practices.
- We are transparent about our commitments to our partners and customers, and our written contracts reflect the actual economics of the deal.
- We do not make side agreements or other “off-the-book” arrangements.
- We use standard agreements and contracting processes or get approval for custom terms.
- We execute financial transactions only with appropriate authorization and record them in compliance with Gunship Group accounting practices.
- The VP, and other employees comply with the Finance Code of Professional Conduct.
- When we retain and dispose of documents, we follow established corporate retention requirements that meet our legal obligations and long-term business needs.
PROPRIETARY INFORMATION
It is important that we respect the property rights of others. We will not acquire or seek to acquire improper means of a competitor’s trade secrets or other proprietary or confidential information. We will not engage in unauthorized use, copying, distribution, or alteration of software or other intellectual property.
SELECTIVE DISCLOSURE
We will not selectively disclose (whether in one-on-one or small discussions, meetings, presentations, proposals, or otherwise) any material non-public information with respect to Gunship Group, its securities, business operations, plans, financial condition, results of operations, or any development plan. We should be particularly vigilant when making presentations or proposals to customers to ensure that our presentations do not contain material non-public information.
AVOID CONFLICTS OF INTEREST
We must avoid any relationship or activity that might impair, or even appear to impair, our ability to make objective and fair decisions when performing our jobs. We must never use Gunship Group property or information for personal gain or personally take for ourselves any opportunity that is discovered through our position with Gunship.
Here are some other ways in which conflicts of interest could arise:
- Being employed (you or a close family member) by, or acting as a consultant to, a competitor or potential competitor, supplier, or contractor, regardless of the nature of the employment, while you are employed with Gunship Group
- Hiring or supervising family members or closely related persons.
- Serving as a board member for an outside commercial company or organization.
- Owning or having a substantial interest in a competitor, supplier, or contractor.
- Having a personal interest, financial interest, or potential gain in any Gunship Group transaction.
- Placing company business with a firm owned or controlled by a Gunship Group employee or his or her family.
- Accepting gifts, discounts, Flavors, or services from a customer/potential customer, competitor, or supplier, unless equally available to all Gunship Group employees.
Determining whether a conflict of interest exists is not always easy. Employees with a conflict-of-interest question should seek advice from management. Before engaging in any activity, transaction, or relationship that might give rise to a conflict of interest, employees must seek review from their managers or the HR department.
Violations of ‘Gunship Group Code of Business Conduct’ or commission of dishonest or illegal activities on Gunship Group premises or while conducting Gunship Group business, may result in disciplinary action up to and including immediate dismissal and legal measures. The fact that an illegal or dishonest act or prohibited act may be considered minor in nature will not be a justification for the mitigation of any disciplinary or legal action taken by the company. Employees reporting COBC violations in good faith will be protected by the company from any retaliation.
